    Marketplace and Developer Terms

    These Marketplace and Developer Terms ("Developer Terms") apply in addition to our main Terms and Conditions and govern the listing, hosting, and distribution of applications through the Construct365 Apps Directory. In the event of any conflict, these Developer Terms take precedence for marketplace matters.

    1. Marketplace Operator

    The Construct365 Apps Directory is operated by:

    2. Nature of the Marketplace

    The Construct365 Apps Directory is an introductory platform that connects construction technology developers with users in the UK construction industry. Construct365 Limited acts as a platform operator only — we are not a party to any contract formed between a developer and an end user for the use of a listed application.

    Developers are responsible for their own applications and for entering into appropriate terms with their users. Construct365 Limited accepts no liability for the performance, security, or fitness for purpose of third-party applications listed in our directory.

    3. Developer Eligibility and Registration

    3.1 Eligibility Requirements

    To list applications on our platform, developers must:

    • Be at least 18 years old, or be a legally incorporated business entity
    • Provide accurate and complete registration information
    • Accept these Developer Terms and our main Terms and Conditions
    • Comply with all applicable laws and regulations, including UK consumer protection, data protection, and financial services laws
    • Hold all rights necessary to distribute the applications they submit

    3.2 Verification

    We may require developers to provide proof of identity or business registration, particularly for paid applications. We reserve the right to reject any application for listing without giving reasons.

    4. App Submission and Approval

    4.1 Submission Requirements

    All applications submitted for listing must include:

    • Complete and accurate app metadata (name, description, category, pricing, screenshots)
    • A functional application hosted on an accessible and stable URL
    • Clear documentation of all features and functionality
    • A privacy policy compliant with UK GDPR if the app collects personal data from users
    • Terms of service for the application
    • Contact details for user support

    4.2 Review Process

    We review all submitted applications for compliance with these Developer Terms, including:

    • Technical functionality and quality standards
    • Relevance to the UK construction and property industry
    • Compliance with applicable laws
    • Security standards and absence of malicious code
    • Accuracy of listing descriptions

    4.3 Approval Timeline

    Most applications are reviewed within 5–7 business days. We will notify developers of approval or rejection with feedback where appropriate.

    5. App Content Standards

    5.1 Required Standards

    All listed applications must:

    • Be genuinely relevant to construction, property development, or related industries
    • Function as described in their listing and provide legitimate business value
    • Meet WCAG 2.1 Level AA accessibility standards where reasonably practicable
    • Not engage in deceptive, misleading, or fraudulent practices
    • Comply with the Consumer Rights Act 2015 where digital content is supplied to consumers

    5.2 Prohibited Content

    Applications must not:

    • Contain or facilitate illegal content or activity
    • Contain malicious code, viruses, spyware, or other harmful software
    • Engage in or facilitate discrimination contrary to the Equality Act 2010
    • Contain defamatory, offensive, or harassing material
    • Use or infringe third-party intellectual property without authorisation
    • Collect or process personal data in breach of UK GDPR or DPA 2018
    • Mislead users about the nature, price, or origin of the service
    • Engage in unsolicited electronic marketing in breach of PECR

    6. Pricing and Revenue

    6.1 Pricing Responsibility

    Developers set the pricing for their own applications. All prices must be displayed clearly and, where applicable, include VAT or state whether prices are exclusive of VAT, in compliance with the Price Marking Order 2004 and Consumer Rights Act 2015.

    6.2 Revenue Sharing (where applicable)

    Standard commission rate: 20% of net revenue

    Developers receive 80% of net revenue after Stripe payment processing fees (typically 1.5% + 20p per UK card transaction for Stripe Checkout).

    6.3 Payment Processing

    All payments are processed through Stripe, subject to Stripe's own terms of service. Payment processing fees are deducted before revenue share calculations.

    6.4 Payouts

    Developer payouts are processed monthly for amounts over £50. Balances below this threshold are carried forward. We will issue a compliant VAT invoice or self-billing arrangement as required.

    6.5 Refunds and Chargebacks

    Where a user is entitled to a refund under the Consumer Rights Act 2015 (for example, where digital content is not of satisfactory quality, fit for purpose, or as described), developers are responsible for honouring such refunds. Construct365 may facilitate refund processing and will recover any associated costs from the developer's account balance.

    7. Hosting and Technical Infrastructure

    7.1 URL Structure

    Approved applications receive a dedicated listing page at construct365.com/apps/[app-slug]. Applications are hosted externally by developers and accessed via an embedded link or iframe.

    7.2 Uptime Obligations

    Developers are responsible for maintaining their own hosting and should target 99% uptime excluding scheduled maintenance. Persistent downtime may result in removal from the directory.

    7.3 Security

    Developers must maintain appropriate technical security measures for their applications, including patching known vulnerabilities promptly. Any security breach affecting users of a listed application must be reported to marketplace@construct365.com within 24 hours of discovery.

    8. Intellectual Property

    8.1 Developer Rights

    Developers retain full ownership of their application code, content, and intellectual property. Listing an application on our platform does not transfer any ownership rights to Construct365 Limited.

    8.2 Licence Granted to Construct365

    By submitting an application for listing, you grant Construct365 Limited a non-exclusive, royalty-free, worldwide licence to:

    • Display your application listing, description, logo, and screenshots on our platform
    • Promote your application in our newsletters, social media, and marketing materials
    • Cache or proxy your application for performance purposes (if technically integrated)

    This licence terminates when your application is removed from our platform.

    8.3 Third-Party Content

    Developers warrant that they have all necessary rights, licences, consents, and permissions to use any third-party content, open source software, libraries, fonts, or APIs within their applications.

    9. Data Protection Obligations

    9.1 Developer as Data Controller

    Where a listed application collects personal data from users, the developer is an independent data controller under UK GDPR and DPA 2018. The developer is solely responsible for compliance with all applicable data protection law, including obtaining valid consent, providing a lawful basis for processing, and fulfilling data subject rights requests.

    9.2 Required Disclosures

    Applications that collect personal data must:

    • Display a prominent, ICO-compliant privacy policy before any data is collected
    • Obtain clear and specific consent where required by UK GDPR or PECR
    • Register with the ICO as a data controller if required under DPA 2018
    • Implement appropriate technical and organisational security measures

    9.3 Data Sharing with Construct365

    Developers must not share user personal data with Construct365 Limited without an appropriate legal basis and, where required, a valid data sharing or data processing agreement.

    10. Advertising and Promotional Placement

    10.1 Featured Placement

    Paid promotional options are available for applications in our directory. Current rates are available on our Pricing page. All promotional pricing is subject to VAT.

    10.2 Editorial Promotion

    We may promote selected applications in our newsletter, on social media, or at industry events at our discretion. Such editorial coverage is not guaranteed and does not imply endorsement.

    10.3 Advertising Standards

    All promotional content for applications listed on our platform must comply with the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (CAP Code) as administered by the Advertising Standards Authority (ASA).

    11. Developer Support Obligations

    Developers are responsible for:

    • Maintaining their application in working order and keeping the listing description accurate
    • Providing user support through a published support channel
    • Responding to user complaints and refund requests within reasonable timeframes
    • Fixing bugs and security vulnerabilities promptly
    • Notifying us of significant changes to application functionality or pricing with at least 14 days' notice

    12. Removal of Applications

    12.1 Voluntary Removal

    Developers may request removal of their application from our directory with 30 days' written notice to marketplace@construct365.com. Where paid subscriptions exist, existing users must retain access for the duration of any paid period.

    12.2 Removal by Construct365

    We may remove or suspend an application immediately (or with such notice as is reasonable) if it:

    • Violates these Developer Terms or our main Terms and Conditions
    • Breaches any applicable UK law or regulation
    • Has been reported to or investigated by a regulatory authority (ICO, FCA, CMA, ASA)
    • Poses a security risk to users or our platform
    • Has not been maintained and is non-functional
    • Has received a significant volume of substantiated user complaints

    12.3 Appeals

    Developers may appeal a removal decision within 14 days by emailing marketplace@construct365.com with supporting information. We will review appeals within 10 business days.

    13. Liability and Indemnity

    13.1 Developer Indemnity

    Developers agree to indemnify, defend, and hold harmless Construct365 Limited and its officers, directors, and employees from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) their application; (b) their breach of these Developer Terms; (c) any claim that their application infringes a third-party intellectual property right; or (d) any failure to comply with applicable data protection law.

    13.2 Construct365 Liability

    Construct365 Limited's liability to developers is limited to the fees actually paid to Construct365 in the 12 months preceding the claim. We exclude all liability for loss of profits, loss of data, indirect or consequential losses, or business interruption.

    Nothing in these Developer Terms excludes or limits liability for:

    • Death or personal injury caused by negligence
    • Fraud or fraudulent misrepresentation
    • Any other liability that cannot be excluded under English law

    14. Dispute Resolution

    14.1 Developer Disputes

    Disputes between developers and Construct365 regarding listing decisions or account matters should be raised with our Marketplace Team at marketplace@construct365.com in the first instance. We will acknowledge within 5 business days and aim to resolve within 30 days.

    14.2 User Disputes

    Disputes between users and developers regarding third-party applications are a matter between the developer and the user. Construct365 may assist in facilitating communication but is not responsible for outcomes and is not the trader under the Consumer Rights Act 2015 for third-party applications.

    14.3 Regulatory Complaints

    Users who believe a listed application has treated them unlawfully as a consumer may also contact the Competition and Markets Authority (CMA) at cma.gov.uk, Citizens Advice on 0808 223 1133, or their local Trading Standards office.

    15. Changes to These Terms

    We may update these Developer Terms periodically to reflect changes in the law or our business. We will provide at least 30 days' advance notice to active developers by email. Your continued use of our marketplace after the effective date constitutes acceptance of the revised terms.

    16. Governing Law

    These Developer Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
